Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of the Caxion Services. By accessing or using the Services, you agree to these Terms.
1. Agreement
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not use the Services.
2. The Services
Caxion is an AI use case platform that helps users discover, configure, connect, govern, and measure AI agents. The Services include the web application at caxion.ai and related domains; native apps for iPhone and iPad; related extensions where enabled (Share Extension, widgets, Live Activities, Shortcuts); and backend APIs, model routing, connectors, and collaboration features. Features may vary by plan, account type, device, and region.
3. Accounts and eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater, to use the Services. You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. Enterprise customers may be subject to additional agreements that prevail in the event of conflict with these Terms.
4. Acceptable use
You agree not to:
- Violate applicable laws or third-party rights
- Attempt unauthorized access to systems, data, or accounts
- Interfere with or disrupt the Services
- Upload unlawful, harmful, or infringing content, or content you are not authorized to share
- Use the Services to develop or operate agents that cause harm, discrimination, fraud, or unlawful surveillance
- Generate malware, child sexual abuse material, or other illegal content
- Scrape, probe, or abuse model APIs or infrastructure through Caxion
- Circumvent rate limits, usage metering, App Check, or other security or integrity controls
- Use another person’s account, credentials, or connectors without authorization
- Attempt to extract provider system prompts, secrets, or non-public configuration
- Send automated spam or unsolicited bulk messages via connected mail, Slack, or similar systems
- Reverse engineer the Services except where such restriction is prohibited by law
- Misrepresent outputs as human-generated when disclosure is required
5. Customer content and AI outputs
You retain rights to content you submit (“Customer Content”). You grant Caxion a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Services. That license includes transmitting content to subprocessors and model providers; generating embeddings or indexes for knowledge and search features when used; showing content to collaborators you invite; and reviewing content as needed for operations, security, fraud prevention, and abuse handling (including feedback).
AI-generated outputs may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing outputs, validating decisions, and ensuring human oversight where required by your policies or law. Do not rely on the Services as the sole basis for legal, medical, financial, or other high-stakes decisions. The Services do not provide legal, medical, or financial advice.
Agents may take actions in connected systems—such as sending email, creating tasks, or modifying calendars—within the scopes you grant. You are responsible for enabling connectors, reviewing schedules and consents, and supervising high-impact automation.
6. Connected services
Connected services include Apple device capabilities you authorize on the device and cloud OAuth applications you connect to your account. Your use of those services remains subject to their terms and privacy policies. You authorize Caxion to access and use connected data within the scopes you approve. Tokens for cloud connectors are stored securely server-side. You can disconnect integrations; disconnection stops future access through that connection but may not unwind actions already taken in third-party systems, and may affect agent functionality.
7. Intellectual property
The Services, including software, branding, documentation, and design, are owned by Caxion or its licensors. These Terms do not grant you any right to use Caxion trademarks except as needed to identify your authorized use of the Services.
8. Fees, plans, and billing
Plans may include Free, Plus, Pro, and Enterprise tiers, as well as seat add-ons. Plan names, features, and pricing may change. Usage may be metered in credits, and credit top-ups may be available. Feature availability varies by plan, device, and region.
Consumer purchases are made through Apple In-App Purchase (StoreKit). Apple’s terms govern payment processing, refunds, and billing disputes for those purchases. Paid plans offered outside Apple, if any, are described at purchase or in a separate order. Fees are non-refundable except where required by law or expressly stated. We may change pricing with notice for future billing periods.
Deleting your Caxion account or uninstalling the app does not cancel an active Apple subscription. You must manage or cancel subscriptions in your Apple Account / subscription settings.
9. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect that information and use it only as needed to perform under these Terms, except where disclosure is required by law.
10. Communications
You consent to receive transactional communications related to the Services, including account verification, password reset, workspace invites, and feedback-related messages. Marketing communications, if any, will be sent only where permitted and with applicable opt-out options.
11. Beta features
We may offer experimental or pre-release features—including certain models, voice modes, or connectors marked Coming soon or similar. Beta features are provided “as is,” may be incomplete or unstable, and may change or be discontinued at any time without liability.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAXION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAXION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. CAXION’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO CAXION FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES.
14. Indemnification
You will defend and indemnify Caxion against claims arising from your Customer Content, your use of the Services, your agents’ actions, or your violation of these Terms or applicable law.
15. Suspension and termination
We may suspend or terminate access if you breach these Terms, create risk to the Services or others, or if required by law. You may stop using the Services at any time and may delete your account through the in-app account deletion flow where available, or by contacting us. Provisions that by nature should survive—including intellectual property, disclaimers, limitation of liability, indemnification, and fees owed—will survive termination.
16. Changes
We may update these Terms by posting a revised version with an updated effective date. Material changes may be communicated through the Services or by email when appropriate. Continued use after the effective date constitutes acceptance.
17. Governing law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless a separate enterprise agreement specifies otherwise. Courts located in Delaware will have exclusive jurisdiction, except where prohibited.
